Legally, the original articles of association always apply.<\/p><h3 style=\"text-align: center;\">\u00a7 1<\/h3><h4 style=\"text-align: center;\">Name, registered office, year<\/h4><ul><li>The association is called: Zentrum f\u00fcr Selbstbestimmtes Leben Behinderter e.V. Abbreviation: ZSL e.V.<\/li><li>The association is based in Erlangen and is entered in the register of associations.<\/li><li>The association year is always from January 1 to December 31.<\/li><\/ul><h3 style=\"text-align: center;\">\u00a7 2<\/h3><h4 style=\"text-align: center;\">Goals and tasks<\/h4><p>The association supports people with disabilities and people with chronic illnesses.<\/p><p>The association wants:<\/p><ul><li>Equality<\/li><li>Self-determination<\/li><li>Full participation in society<\/li><li>No discrimination (no disadvantage)<\/li><\/ul><p>The association also provides advice and support. Personal assistance is particularly important.<\/p><p>Assistance means helping people in everyday life. The person concerned determines how help is provided.<\/p><p>This is how the association achieves its goals:<\/p><ol class=\"alpha\"><li>People with disabilities are the main decision-makers in the association.<\/li><li>Counseling is often by affected people for affected people. This is called peer counseling.<\/li><\/ol><p>The association also represents these interests externally. The association campaigns against developments that endanger the lives of people with disabilities.<\/p><p>The association achieves its goals in this way, for example:<\/p><ul><li>He runs an advice center.<\/li><li>He organizes assistance.<\/li><li>It promotes work for people with disabilities (also via ACCESS - Inklusion im Arbeitsleben gGmbH in Erlangen).<\/li><li>It supports projects on social issues, work, politics, health and education.<\/li><li>It works together with other organizations.<\/li><\/ul><p>Paid and voluntary staff work in the association. Voluntary means: without pay.<\/p><p>The association is not bound to any political party or religion.<\/p><p>The association is non-profit and charitable. This means that it works for the common good and helps people. The association does not work to make a profit.<\/p><h3 style=\"text-align: center;\">\u00a7 3<\/h3><h4 style=\"text-align: center;\">Membership<\/h4><p>There are two types of membership:<\/p><h4>1) Members with voting rights<\/h4><ul><li>These can be people with disabilities or chronic illnesses.<\/li><li>You must be at least 16 years old.<\/li><\/ul><h4>2) Supporting members<\/h4><ul><li>These can be people or organizations.<\/li><li>You support the association.<\/li><li>They are allowed to speak and submit proposals.<\/li><li>You are not allowed to vote.<\/li><\/ul><p>This is how you become a member: You submit an application to the Association Council. The association council decides.<\/p><p>Membership ends as follows:<\/p><ol class=\"alpha\"><li>If the member dies.<\/li><li>By resignation: in writing to the Association Council.<\/li><li>By exclusion: this is decided by the General Meeting with a 2\/3 majority. The member has 14 days to submit a written statement beforehand.<\/li><li>If you do not pay a contribution for 2 years.<\/li><\/ol><h3 style=\"text-align: center;\">\u00a7 4<\/h3><h4 style=\"text-align: center;\">Rights and obligations<\/h4><p>Members may ask questions, have their say and submit motions at the General Meeting.<\/p><p>Motions must be submitted at least 2 weeks before the General Meeting.<\/p><p>Members should support the association and help it to achieve its goals.<\/p><h3 style=\"text-align: center;\">\u00a7 5<\/h3><h4 style=\"text-align: center;\">Membership fee<\/h4><ul><li>Members pay a contribution.<\/li><li>The general meeting decides on the minimum contribution.<\/li><li>The contribution must be paid by June 30.<\/li><li>In special cases, the Association Council may reduce the fee, have it paid later or waive it.<\/li><\/ul><h3 style=\"text-align: center;\">\u00a7 6<\/h3><h4 style=\"text-align: center;\">Organs of the association<\/h4><p>The association has three important groups:<\/p><ol class=\"alpha\"><li>General meeting<\/li><li>Association Council<\/li><li>Management Board<\/li><\/ol><h3 style=\"text-align: center;\">\u00a7 7<\/h3><h4 style=\"text-align: center;\">General Meeting (GM)<\/h4><ul><li>All members and supporting members are members of the general meeting.<\/li><li>The meeting is not normally open to the public. The Association Council may allow exceptions.<\/li><\/ul><p>Invitation to the General Meeting:<\/p><ul><li>in writing or by e-mail<\/li><li>with agenda<\/li><li>at least 4 weeks before<\/li><\/ul><p>Motions on the agenda:<\/p><ul><li>submit to the association council at least 2 weeks in advance<\/li><li>Amendments to the articles of association or dissolution are only possible if this was previously announced in the invitation<\/li><\/ul><p>Vote:<\/p><ul><li>The General Meeting can pass resolutions regardless of how many members with voting rights attend.<\/li><li>Each voting member has one vote.<\/li><li>There is a secret ballot if someone requests it.<\/li><li>Representation is not permitted. You cannot vote \u201efor others\u201c.<\/li><\/ul><p>The Association Council must convene the General Meeting:<\/p><ul><li>At least 1 time per year<\/li><li>or if it is important<\/li><li>or if 1\/3 of the members request this in writing<\/li><\/ul><p>The General Meeting decides, for example, on<\/p><ul><li>Election of the Association Council (for 3 years)<\/li><li>Election of 2 auditors (for 3 years)<\/li><li>Discharge of the Board of Directors and Association Council (meaning: \u201eYou have done your job properly\u201c)<\/li><li>Amount of membership fees<\/li><li>Applications<\/li><li>Amendments to the Articles of Association<\/li><li>Memberships in other associations or societies<\/li><li>Dissolution of the association<\/li><\/ul><p>Majorities:<\/p><ul><li>Normal: simple majority<\/li><li>Amendment of the Articles of Association: 2\/3 majority<\/li><li>Resolution: 3\/4 majority<\/li><\/ul><p>Protocol:<\/p><ul><li>There is a results protocol.<\/li><li>It will be dispatched within 4 weeks.<\/li><li>Objection is possible for 4 weeks. The association council then decides.<\/li><\/ul><h3 style=\"text-align: center;\">\u00a7 8<\/h3><h4 style=\"text-align: center;\">Association Council<\/h4><ul><li>The Association Council has a minimum of 3 and a maximum of 5 members.<\/li><li>All of them are of legal age and members of the association with voting rights.<\/li><li>Members of the Association Council may not be employed full-time by the Association.<\/li><li>The Association Council is elected for 3 years.<\/li><\/ul><p>Volunteers are reimbursed for expenses (e.g. travel costs).<\/p><p>There may also be an honorary lump sum. This is decided by the general meeting.<\/p><p>The Association Council can write down rules for its work. These are called rules of procedure.<\/p><p>Tasks of the Association Council:<\/p><ul><li>It discusses important objectives of the association.<\/li><li>It elects the Executive Board.<\/li><li>He makes contracts with the Management Board.<\/li><li>It monitors the Executive Board.<\/li><li>It may consult specialists (e.g. auditors).<\/li><li>He receives important information from the Executive Board.<\/li><li>It adopts the business plan (plan for money and expenditure).<\/li><li>It adopts the annual financial statements.<\/li><li>It may appoint special representatives (for specific tasks).<\/li><\/ul><p>Meetings of the Association Council:<\/p><ul><li>Usually 1 time per quarter<\/li><li>Invitation at least 2 weeks in advance<\/li><li>Board members can be invited and may then speak and submit motions<\/li><li>Resolutions are passed by a simple majority<\/li><li>There is a protocol<\/li><\/ul><h3 style=\"text-align: center;\">\u00a7 9<\/h3><h4 style=\"text-align: center;\">Management Board<\/h4><p>The Executive Board is the management of the association. The Executive Board represents the association externally.<\/p><p>The association has one or more board members.<\/p><p>Normally, board members must be people with disabilities or chronic illnesses.<\/p><p>Exceptions are possible if the General Meeting agrees by a 2\/3 majority.<\/p><p>The Association Council regulates this in rules of procedure:<\/p><ul><li>who is responsible for what<\/li><li>which decisions need extra approval<\/li><\/ul><p>The Executive Board works on a full-time basis.
